Va. Model Jury Instr. Civ. No. 44.015
Accord and Satisfaction—Non-Uniform Commercial Code
Payment by a debtor of an amount less than the amount claimed by the creditor, when
expressly accepted by the creditor in satisfaction and made pursuant to an agreement for that
purpose, extinguishes the debt. This is called an accord and satisfaction.
The defendant has the burden of proving by the greater weight of the evidence that there was
an accord and satisfaction.
[You shall return your verdict for the defendant if he has proved by the greater weight of the evidence
that he paid the plaintiff an amount of money less than the amount owed to the plaintiff, and that the
plaintiff expressly accepted this lesser amount in satisfaction pursuant to an agreement between them.
If you do not so find, then you shall return your verdict consistent with the evidence and the other
instructions.]
