RATIFICATION --- DEFINITION AND EFFECT
RATIFICATION --- DEFINITION AND EFFECT
When one person acts or purports to act as an agent for another, but does so
without authority, and the person for whom [he/she] acted thereafter confirms such
action, by words or conduct, with knowledge of all the materia l facts, such words or
conduct are a ratification of the act, and are the same as if it had been authorized
originally.

If the principal ratifies any part of the act, [he/she/it] ratifies all of it.
