Corporate Responsibility--Defense
If the corporate defendant proves by a preponderance of the evidence that a high managerial
agent, having supervisory responsibility over the conduct which is the subject matter of the offense
charged, exercised due diligence to prevent the commission of the offense charged, you should
find the corporate defendant not guilty.
