Haw. Civil Jury Instr. 15.1
CONTRACT – GENERAL: DEFINITION/ELEMENTS
A contract is an agreement between two or more persons
which creates an obligation to do or not to do something. A
contract may be written or oral.
A contract requires proof of all of the following elements:
(1) Persons with the capacity and authority to enter into
the contract; and
(2) An offer; and
(3) An acceptance of that offer producing a mutual
agreement, or a meeting of the minds, between the
persons as to all of the essential terms of the
agreement at the time the offer was accepted; and
(4) Consideration.
