Criminal Liability of Corporations [Agent]
CRIMINAL LIABILITY OF CORPORATIONS [AGENT]
The defendant [One of the defendants] is a corporation. To find a
corporation guilty of a crime, you must find that the conduct constituting the
offense was engaged in by an agent of the corporation while the agent was acting
within the scope of the agent’s employment and on behalf of the corporation. An
agent of the corporation is any director, officer, or employee of the corporation, or
any other person who is authorized to act on behalf of the corporation.
