Disclosed or Unidentified Principal — Defined
When a person knows or has notice that (insert applicable pronoun) is dealing with
the agent of a principal and knows or has notice of who the principal is, the principal is a
“disclosed principal.”
When a person knows or has notice that (insert applicable pronoun) is dealing with
the agent of a principal, but does not know who the principal is, the principal is an
“unidentified principal.”
A person has notice of a fact if the person knows the fact, has reason to know the
fact, has received an effective notification of the fact, or should know the fact to fulfill a
duty owed to another person.
